When the people who own a business together stop agreeing, the business itself is often at risk. These disputes reward early, careful attention to the agreements the owners signed.

Partners disagree about the direction of the business, and the partnership agreement does not settle it.

What the work involves

These cases begin with the governing documents: partnership agreements, operating agreements, bylaws, buy-sell provisions and the financial records of the business. What the owners agreed to, and how they actually ran the company, usually decide the outcome.

Because the parties often still share a business, a negotiated buyout or a mediated resolution can preserve value that litigation would consume. When that is not possible, the dispute is litigated.
